Steven G. Black is a partner at Hansen Black Anderson Ashcraft  Mr. Black has extensive experience with sophisticated business transactions. Mr. Black’s areas of practice include corporate law, real estate, and tax law. Representative clients during Mr. Black’s career include Fortune 500 companies, software companies, investors, lenders, borrowers, financial institutions, and real estate developers. Mr. Black is a certified public accountant licensed in the State of Texas. Mr. Black holds a Bachelor of Science degree in accounting, cum laude, from Brigham Young University, a Masters of Accountancy degree from Brigham Young University, and a Juris Doctorate degree, magna cum laude, from Brigham Young University.

Corporate

Mr. Black analyzes, structures and documents business transactions, including investments, mergers and acquisitions, purchase and sale agreements, stock redemptions, buy-sell agreements, partnership agreements, employment agreements, non-compete agreements, leases, and license agreements. These transactions involve closely-held and publicly-held companies.

Real Estate

Mr. Black has extensive experience in sophisticated real estate and commercial finance transactions representing a wide variety of major local and national developers, retailers, investors, home-builders, and financial institutions. Transactional experience includes purchase and sale agreements, tenants in common (TIC) agreements, CC&Rs, declarations of condominium, office mixed-use developments, resort development, land assemblage, easement agreements, community associations, options, purchase and sale agreements, joint venture agreements, sale and leasing of shopping center properties, ground leases, subleases, build to suit leases, and reverse build to suit leases.

Tax Planning

As a licensed certified public accountant, Mr. Black consults clients concerning tax planning and the most effective method of structuring business transactions from both a tax standpoint and a liability standpoint.

  • Represented Fortune 100 company regarding acquisition and development of retail shopping centers in Arizona, Nevada, California and Illinois. 
  • Represented Fortune 500 company in connection with office leases in Massachusetts, Arkansas, Tennessee, Georgia, and Idaho.
  • Represented Chicago-based investment fund with respect to investments into publicly traded corporations.
  • Represented Fortune 100 company with respect to $290,000,000 real estate development portfolio. 
  • Represented Utah-based home builder regarding acquisition and development of residential subdivisions and apartment projects.
  • Represented regional company in the acquisition of a Summer/Winter resort in Utah.
  • Represented developer in mixed-use condominium project, Park City, Utah.
  • Represented owners in partition and exchange agreement in connection with a 342 acre resort development near Deer Valley Resort, Utah.
  • Represented Sony Computer Entertainment America in acquisition of interactive digital entertainment software company.
  • Represented buyer in acquisition of $11,000,000 software development company.
  • Represented clients in the sale and purchase of various types of professional entities, including dental practices, medical practices, and CPA firms.
  • Represented entrepreneurs, investors and companies in evaluating and consummating various business combinations and debt and equity investment transactions.
  • Represented various private lenders in non-judicial foreclosures.
  • Represented various tax-exempt entities regarding entity formation and obtaining tax-exemption determination letter from the Internal Revenue Service.
